These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and airpay money Private Limited ("airpay money", "Company", "we", "us", or "our") governing your access to and use of amplify by airpay money (the "Platform"), a Software-as-a-Service (SaaS) solution owned and operated by airpay money.
By accessing, registering for, subscribing to, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as amended from time to time.
To access, register for, subscribe to, or use the Services, you must be an individual who is at least eighteen (18) years of age and legally competent to enter into a binding contract under applicable law, or a duly incorporated corporation, limited liability partnership, partnership firm, trust, association of persons, sole proprietorship, or other legal entity capable of entering into legally binding contracts under applicable law.
If you are accessing or using the Services on behalf of an entity, you represent and warrant that you are duly authorised to accept these Terms on behalf of such entity and to bind the entity to these Terms, and that such entity shall be responsible for all acts and omissions arising from the use of the Services. You agree to provide complete, accurate, and up-to-date information during registration and throughout the term of your use of the Services. If you do not satisfy these eligibility requirements, you must not access or use the Services.
If you are not a resident of India, you may access and use the Services only to the extent permitted by the laws of India and the laws applicable in your jurisdiction. You acknowledge that it is your sole responsibility to ensure that your access to and use of the Services complies with all applicable laws, rules, and regulations. airpay money makes no representation that the Services are appropriate or legally available in jurisdictions outside India. You agree that you shall be solely liable for any violation of applicable laws arising from your use of the Services outside India and shall indemnify and hold harmless airpay money from and against any claims, liabilities, penalties, or losses arising therefrom.
In order to access and use the Services, you are required to create and maintain a valid account with the Platform. You are solely responsible for all activities conducted through your account and for ensuring that your login credentials and access information remain secure at all times. You agree to use reasonable measures to safeguard your account and to comply with all security procedures notified by airpay money from time to time.

Subscription Model
Access to the Services is provided on a subscription basis. Subscriptions may be offered on a monthly or annual plan, as selected by the Subscriber at the time of onboarding or renewal. The features, functionalities, usage limits, and service entitlements available to the Subscriber shall vary depending on the subscription plan chosen. airpay money reserves the right to modify, upgrade, or discontinue specific plans or features at its discretion, subject to prior notice where required.
Fees
All subscription fees shall be payable in advance for the applicable subscription term. The Subscriber agrees to pay the fees as specified in the applicable order form, proposal, or pricing schedule agreed between the parties. Unless expressly stated otherwise in writing, all fees paid are non-refundable and non-cancellable. All fees are exclusive of applicable taxes, including Goods and Services Tax (GST) or any other statutory levies, duties, or governmental charges, which shall be payable by the Subscriber in addition to the subscription fees at the prevailing rates.
Renewal
Subscriptions shall automatically renew for successive periods equal to the original subscription term unless the Subscriber provides written notice of cancellation prior to the renewal date. The renewal shall be subject to payment of the applicable renewal fees at the then-current rates, unless otherwise agreed in writing.
Suspension for Non-Payment
In the event of non-payment, delayed payment, or failure to process payment for any reason, airpay money reserves the right to suspend or restrict access to the Services, in whole or in part, until all outstanding dues are fully paid. airpay money shall not be liable for any loss of data, business interruption, or damages arising from such suspension due to non-payment.
airpay money grants the Subscriber a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform strictly for its internal business purposes in accordance with this Agreement. The Subscriber shall not:

Users shall not:
airpay money reserves the right to monitor usage, investigate suspected violations, and suspend or terminate access to the Platform in the event of any breach of this policy.
All rights, title, and interest in and to the Platform, including all intellectual property rights therein, shall remain the exclusive property of airpay money and/or its licensors, and nothing in this Agreement shall be construed as transferring any ownership rights to the User.
The User retains all rights, title, and interest in and to its Customer Data, subject to granting Airpay Money a limited right to process such data solely for the purpose of providing the Services in accordance with this Agreement.
The User represents and warrants that it has all necessary rights, consents, and lawful authority to collect, use, upload, and share Customer Data on the Platform; that such Customer Data does not infringe any third-party rights; and that it complies with all applicable data protection, privacy, and financial regulations in relation to such data.
To the extent applicable, airpay money shall act as a data processor solely for the purpose of providing the Services and shall process Customer Data in accordance with the User's lawful instructions and applicable law.
The Platform may integrate with third-party services, including payment gateways, banking systems, and CRM or marketing tools, to enable certain functionalities. Such integrations are provided for convenience, and airpay money does not own, control, or assume responsibility for the performance, availability, security, or compliance of any third-party services. The User acknowledges that use of such third-party services shall be subject to the respective third-party terms and conditions.
Both parties agree to maintain the confidentiality of all non-public, proprietary, or sensitive information disclosed in connection with the Services and shall not disclose such information to any third party without the prior written consent of the disclosing party, except to the extent required by applicable law, regulation, or lawful order of a competent authority.
Each party shall implement reasonable safeguards to protect such confidential information from unauthorized access, use, or disclosure.
The Platform is provided on a best-effort uptime basis, and while airpay money endeavors to ensure continuous availability, it does not guarantee uninterrupted, error-free, or continuous access to the Services.
The Platform may be subject to scheduled maintenance, upgrades, emergency repairs, or unforeseen technical issues, during which access may be temporarily suspended or limited. airpay money shall use reasonable efforts to provide prior notice of scheduled maintenance, where practicable, but shall not be liable for any disruption, downtime, or unavailability of the Services.
In no event shall airpay money or any of their officers, directors, employees, agents or affiliates be liable for any consequential, incidental, direct, indirect, special, punitive, or other damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss) arising out of this subscription or:
Whether based on contract, tort, negligence, strict liability or otherwise, even if airpay money has been advised of the possibility of such damages.
If you are dissatisfied with any portion of the Service, or with any of these Terms of Use, your sole and exclusive remedy is to discontinue using the Service.
You hereby agree to indemnify and hold airpay money, its agents, contractors, members, subsidiaries, affiliates, service providers, syndicators, distributors, licensors, officers, partners and employees, harmless from any loss suffered by airpay money as a result of a breach of the terms and conditions of this agreement by you and from any claim brought by third parties alleging that use of the Service by you or under your account has infringed any intellectual property or other right of any kind, or any applicable laws or regulation.
You shall pay all costs, damages, awards, fees (including legal fees) and judgments awarded against Airpay Money arising from such claims, and shall provide airpay money with notice of such claims, full authority to defend, compromise or settle such claims and reasonable assistance necessary to defend such claims, at your sole expense.
airpay money may suspend or terminate the User's access to the Platform, in whole or in part, in the event of:
Upon termination or expiry of the Agreement for any reason, the User's right to access and use the Platform shall immediately cease. airpay money may retain Customer Data for a period of up to thirty (30) days from the effective date of termination to enable data retrieval by the User, after which such data may be permanently deleted, unless retention is required under applicable law or regulatory obligations.
The laws of India govern these Terms and Conditions. In case of any dispute, the dispute shall be settled by Arbitration as per the provisions of the Arbitration and Conciliation Act, 1996. Subject to Arbitration, the courts of Mumbai shall have exclusive jurisdiction.
airpay money accepts no liability whatsoever, direct or indirect, for non-compliance with the laws of any country other than that of India. The mere fact that you are in a country other than India accessing the Service does not imply that the laws of that country govern these Terms and Conditions or the use of the Service.
airpay money reserves the right to amend or update these Terms at its discretion by publishing the revised version on its website. Continued access to or use of the Platform following such publication shall constitute acceptance of the updated Terms.
The Platform and all related information, technology, and Services are provided on an "as is" and "as available" basis. To the maximum extent permitted under applicable law, airpay money disclaims all representations and warranties, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or availability.
airpay money does not warrant that the Platform will meet the User's specific requirements or expectations, or that access to the Platform will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components. The User acknowledges that use of the Platform is at its own risk and that any reliance on the Services is solely at the User's discretion.
